General Terms of Sale and Delivery

Validity

By placing an order, the customer acknowledges and accepts our terms of sale and delivery. Orders are considered accepted upon our explicit confirmation or upon confirmation by invoice.

Pricing

Our prices are based on the price lists applicable on the day of delivery. Prices do not include value-added tax which will be charged additionally. 

Shipping

Goods with a value of EUR 500.00 or more will be delivered free of shipping and packaging charges in the most appropriate way at our discretion; partial delivery is possible. Delivery of goods with a value of less than EUR 500.00 and deliveries outside of Germany are subject to additional shipping charges. Deliveries that are cooled with dry ice or freezer packs are charged an additional flat fee of EUR 20.00.  The addressee bears all risks. Unforeseen incidents including but not limited to force majeure, operational malfunctions, failure or delays in delivery on part of our suppliers, official orders, turmoils, civil commotion, riots, delays in shipment, strikes or other disturbances that are beyond our influence, relieve us – for as long as such incidents last - from our obligation to deliver the goods on time.  In addition, such incidents entitle us to withdraw from the order either partially or in whole.

Payments

Payment is due net 30 (thirty) days upon date of invoice. We retain title to the goods until full payment is made. Payment is considered made when we can dispose of the invoiced amount. If the buyer defaults in payment, we are entitled to charge default interest of 3% above the applicable bank rate of the federal reserve bank of Germany. In particular cases, we reserve the right to delivery against prepayment or against cash on delivery.

Use of our products

All reagents and test kits are to be used only for in-vitro diagnostics and/or for scientific purposes - according to the package insert. If human or animal material (e.g. serum) was used in the production of the products, the commonly accepted tests have been applied and the material has been tested negative for all pathogens listed on the corresponding package insert. For safety reasons though, please handle all products as infectious material. Quality control measures in the production facilities guarantee the quality and functionality of the products provided they are used and stored as prescribed. Expiration dates and storage conditions are stated on the packages or their inserts and must be observed. Damages to any reagents and devices, which are due to inappropriate use, improper or negligent handling or storage and unauthorized modifications by the buyer or a third party are excluded from any warranty.

Complaints and return of goods

Complaints must be filed in writing no later than 10 (ten) days after receipt of the goods. If a complaint is justified and has been filed on time, we can either rectify the defects, replace the delivered goods or reimburse the customer. We are not liable for any other damages including but not limited to consequential damages. Exchange or return of goods that have been properly ordered and delivered are subject to our prior approval.

Legal venue and place of performance

The legal venue shall be Darmstadt. The governing law is the law of the Federal Republic of Germany.
